Sunil Bharti Mittal bought Tata Teleservices bringing over 71 MHz of liberalized spectrum, and this will also add 40 million customers to Bharti Airtel.

Tata Teleservices will pay off their debt of nearly Rs 34,000 crore which they took from TTML and TTSL. Additional spectrum in 1800, 2100, and 850 MHz bands will be added to Airtel's pool and further help the operator strengthen its 4G network.

The merger is being done on a debt-free cash-free basis, except for Bharti Airtel assuming a small portion of the unpaid spectrum liability of Tata's towards the department of telecommunication (DoT), which is to be paid on deferred basis.

Bharti Airtel will acquire Tata Group's loss-making mobile telephony business, nearly for free, boosting its spectrum holding and raising subscriber base while saving the Tatas from the prospect of having to shut down the struggling unit.

The deal with Tata Teleservices is probably the sweetest deal for Bharti Airtel, which has made over five acquisitions in the last few years. But in this case Airtel will only pay about ₹1,500 crore of the ₹9,500 crore liabilities which Tata Tele has.

"This is a good deal for Airtel and enables them to potentially become very strong and dominant player in data services market", said GV Giri of IIFL. The agreement will further strengthen Airtel's solid portfolio and create substantial long term value for our shareholders given the significant synergies.

"We believe today's agreement is the best and most optimal solution for the Tata Group and its stakeholders". Finding the right home for our longstanding customers and our employees has been the priority for us.

According to sources, Tata Sons is saddled with over Rs.66,500 Crore of debt and liabilities as a result of Tata Teleservices merger with Bharti.

Ltd acted as financial advisor to Tata. Vodafone and Idea combined will have access to 28 per cent of the airwaves while Reliance Jio has about 19 per cent of all spectrum.

Airtel would acquire Tata's 4 crore mobile customers, which will bolster former's subscriber base ahead of the Idea- Vodfone merger in 2018.
